Hosted Retailers & Brands Program:
Terms & Conditions for Hosted Meeting Participants

Below are the terms and conditions ("Terms & Conditions") for the Hosted Retailers & Brands Programs ("Hosted Program") to be held online at Shoptalk Commerce, LLC and/or Groceryshop, LLC Retail Meetup events through 2021.

As a Hosted Retailer & Brands Attendee or Hosted Meeting Participant of a Hosted Program of an online Retail Meetup event ("Event") produced by Shoptalk Commerce, LLC (“Shoptalk”) and/or Groceryshop, LLC (“Groceryshop”, “we”, “us” or “our”) you agree to be bound by these terms and conditions, which form a legal contract between us and you (collectively, the "Agreement"). These terms and conditions are applicable to events produced by eitherShoptalk or Groceryshop; references to “Shoptalk or Groceryshop” should be read according to whichever is the appropriate entity for the Retail Meetup Event.

This Agreement may be modified from time to time, so check back often. So that you are aware changes have been made, we will adjust the “Last Revised” date at the beginning of this document. Continued attendance at the Event by you will constitute your acceptance of any changes or revisions to this Agreement.

  • With the Hosted Program, Shoptalk or Groceryshop (as appropriate depending on the Event) will arrange a series of 15-minute meetings ("Hosted Meetings") between Hosted Retailers & Brands Attendees and Hosted Meeting Participants. All Hosted Meetings will take place during Meeting Times. Notwithstanding the number of meetings purchased by any given Hosted Meeting Participant or in aggregate by all Hosted Meeting Participants, we do not guarantee any minimum number of Hosted Retailers & Brands Attendees or any minimum number of Hosted Meetings for any Hosted Meeting Participant. The number of meetings arranged for any given Hosted Meeting Participant might be below the number purchased.
    • "Hosted Retailers & Brands Attendees" are those qualifying individuals from retailers and brands who identify themselves to Shoptalk or Groceryshop as buyers or influencers of the purchase of technology and other solutions for their organizations, and who also agree to take up to four (4) 15-minute Hosted Meetings with Hosted Meeting Participants as part of the Hosted Program. Shoptalk or Groceryshop provide complimentary tickets to the Retail Meetup Event to these individuals.
    • "Hosted Meeting Participants" are those individuals who (x) enrolled in the Hosted Program pursuant to a fully executed letter agreement between their organization and Shoptalk or Groceryshop as part of transitioning a sponsorship from an in-person Shoptalk or Groceryshop event ("Transition Letter Agreement") or (y) directly purchased Hosted Meetings as part of the Retail Meetup Event. A single organization may have multiple Hosted Meeting Participants in the Hosted Program. Hosted Meeting Participants are included in the process of arranging Hosted Meetings with Hosted Retailers & Brands Attendees, which process is defined by Shoptalk or Groceryshop in its sole discretion and may change from time to time.
    • "Meeting Times" are predetermined time slots during which Hosted Meetings take place. The Meeting Times are at the sole discretion of Shoptalk, will be provided to Hosted Meeting Participants by Shoptalk and are subject to change upon written notice by Shoptalk or Groceryshop. As of the date of these Terms & Conditions, Meetings Times are scheduled to be:
      • Groceryshop Spring Meetup: from Tuesday, March 9, 2021 through Thursday, March 11, 2021, starting at 12.30 pm EST and ending at 3.15 pm EST each day
      • Shoptalk Meetup for Women: from Tuesday, May 11, 2021 through Thursday, May 13, 2021, starting at 12.30 pm EST and ending at 3.15 pm EST each day
      • Shoptalk Fall Meetup: from Tuesday, October 19, 2021 through Thursday, October 21, 2021, starting at 12.30 pm EST and ending at 3.15 pm EST each day

      Shoptalk or Groceryshop will notify Hosted Meeting Participants of the specific times of their meetings within Meeting Times prior to the start of Retail Meetup Event. A failure on the part of Hosted Meeting Participants to be available for all Meeting Times may limit the ability of Shoptalk or Groceryshop to arrange Hosted Meetings for those Hosted Meeting Participants.

  • The number of Hosted Meetings purchased by any given Hosted Meeting Participant either directly or by their organization as part of a Transition Letter Agreement is that Hosted Meeting Participant’s "Hosted Meetings Cap". A Hosted Meeting Cap can be increased by purchasing additional Hosted Meetings at any time set forth by Shoptalk or Groceryshop (deadlines apply at the sole discretion of Shoptalk or Groceryshop).
  • Hosted Meetings are priced as set forth in the Transition Letter Agreement (the price of each meeting being the "Price Per Meeting") or online during Shoptalk’s Retail Meetup, and the Hosted Meeting Participant must pay an amount equal to the Hosted Meeting Cap multiplied by the Price Per Meeting ("Meetings Payment Amount"). Shoptalk or Groceryshop has the right to increase the Price Per Meeting at any time.
    • Shoptalk or Groceryshop will complete a post event reconciliation to determine the number of "Completed Hosted Meetings" which is defined as the number of Hosted Meetings that (a) actually took place, (b) would have taken place but for the absence of the Hosted Meeting Participant during the Hosted Meeting (including late arrivals resulting in Hosted Meetings that are less than 15 minutes in length), and (c) would have taken place but for the cancelation of a Hosted Meeting by the Hosted Meeting Participant due to availability or for any other reason.
      • If the number of Completed Hosted Meetings multiplied by the Price Per Meeting (averaged if more than one Price Per Meeting applies) is less than the Meetings Payment Amount, Shoptalk or Groceryshop will provide a refund of the difference ("Refund") within 60 days following the end of the Retail Meetup Event ("Refund Payment Date").
  • Hosted Meeting Participants must provide relevant information and respond to Shoptalk or Groceryshop’s requests by our stated deadlines as set forth in the Retail Meetup Hosted Program guidelines and other communications, including but not limited to completing their profiles, which includes information about their organizations ("Profiles"). All Profiles are subject to the review and approval of Shoptalk or Groceryshop.
  • Hosted Meeting Participants must comply with Shoptalk or Groceryshop’s Hosted Program rules and directives, including:
    • All Hosted Meeting Participants must register as paid attendees at the prevailing rate available, which may include tickets transitioned from an in-person Shoptalk or Groceryshop event under a Transition Letter Agreement.
    • Hosted Meeting Participants must:
      • Be available during Meeting Times.
      • Select Hosted Retailers & Brands Attendees for potential meetings and designate such selections for Hosted Meetings.
      • Add Hosted Meetings to their calendars as requested by Shoptalk or Groceryshop.
      • Join Hosted Meetings via video at the times designated by Shoptalk or Groceryshop.
      • Prepare for the Hosted Meetings assuming that Hosted Retailer & Brand Attendees have not prepared in advance.
      • Notify Shoptalk or Groceryshop of any Hosted Retailer & Brand Attendee who was not present for a Hosted Meeting.
    • Hosted Meeting Participants must NOT do the following, which may result in termination from the Hosted Program (and/or any subsequent Shoptalk or Groceryshop hosted programs, including future Retail Meetup Events):
      • Contact any of the Hosted Retailers & Brands Attendees with whom they have Hosted Meetings prior to the event (unless they have also come into contact with those Hosted Retailers & Brands Attendees in the ordinary course of business unrelated to the Retail Meetup Event, in which case Hosted Meeting Participants can only reach out to those Hosted Retailers & Brands Attendees about matters unrelated to the Retail Meetup Event.
      • Exceed the allotted 15 minutes scheduled for the Hosted Meetings.
      • Change the scheduled time of their Hosted Meetings (Hosted Meetings must take place at the time assigned by Shoptalk or Groceryshop).
      • Contact any Hosted Retailers & Brands Attendees who do not show up for their Hosted Meeting (unless they have also come into contact with those Hosted Retailers & Brands Attendees in the ordinary course of business unrelated to the Retail Meetup Event, in which case Hosted Meeting Participants can only reach out to those Hosted Retailers & Brands Attendees about matters unrelated to the Retail Meetup Event).
    • The Hosted Meeting Participant must each complete a feedback survey following the Retail Meetup Event, providing specific evaluations for each meeting. Failure to provide feedback by the Refund Payment Date may delay your Refund until feedback has been completed.
  • Shoptalk or Groceryshop in their sole discretion determines the eligibility of any Hosted Meeting Participant to be accepted into the Hosted Program and may in its sole discretion end enrollment of any Hosted Meeting Participant into the Hosted Program at any time and for any reason, including canceling any Hosted Meetings and providing a refund of any Meetings Payment Amount, which payment amount would be due within 60 days following the end of the Retail Meetup Event.
  • Time is of the essence in all Hosted Program deadlines.
